T.S. (Dudley) Allan Mr. Allan has been President of T. S. Allan and Associates, a consulting firm, since 1987. Prior to that time, Mr. Allan held senior executive positions in a variety of technology companies, including President of Computing Devices Canada and Control Data Canada Limited. Mr. Allan retired from a distinguished career in the Canadian armed forces in 1978, having attained the rank of Rear Admiral. Mr. Allan is past President of the Canadian Defence Preparedness Association, past Chairman of the Aerospace Industries Association of Canada, and currently a member of the board of directors of DY4 Systems Inc., a publicly traded defence products technology company. Mr. Allan is a director of, and maintains an equity interest in, the Manager.

Reimer Boomgaardt, LL.B. Mr. Boomgaardt has worked for the Department of Foreign Affairs and International Trade in a wide range of assignments since 1972, and is currently Special Counsel in the Trade Law Division of the Department.Ý Since 1992, he has worked on issues relating to trade in services and investment, providing legal advice to Canadian negotiators in multilateral negotiations including the GATs and MAI, and in bilateral negotiations for liberalization of air services and protection of investment.Ý He has also acted as legal counsel for Canada in several trade dispute settlement proceedings.

Richard Charlebois, C.A. Mr. Charlebois has been President and a director of the Fund as well as an executive officer and director of the Manager since their respective dates of incorporation. Between that time and February, 1993, Mr. Charlebois was engaged as a self-employed consultant to the technology industry. Prior to February, 1993, he was director and vice-President of Noranda Enterprise Limited, a venture capital subsidiary of Noranda Inc. which held significant equity investments in a variety of advanced technology companies.

Mr. Denzil Doyle, B.Sc. Mr. Doyle has been PresidentÝ of Doyletech Corporation, a consulting firm, and Chairman of Instantel Inc., a digital seismograph manufacturer, since 1982. Prior to that time, Mr. Doyle was President of the Canadian operations ofÝ Digital Equipment Corporation, a U.S. based multi-national technology company. Mr. Doyle has acted as a consultant to several provincial governments as well as for the federal Minister of State for Science and Technology in high technology matters and writes frequently on these subjects in business and financial publications. In recognition of his efforts in the development of the Ottawa-Carleton high technology community, Mr. Doyle received an Honorary Doctorate of Engineering from Carleton University in Ottawa in 1981.

Jeremy Farr, LL.B. Mr. Farr is a partner in Borden Ladner Gervais, a law firm with offices in Vancouver, Calgary, Montreal, Toronto, Ottawa, and London, England. Mr. Farr was a secondment to the Ontario Securities Commission between 1987 and 1989, and more recently, a member of the Securities Advisory Committee to the Ontario Securities Commission. Mr. Farr is a member of the Investment Committee of the Ottawa Civic Hospital Foundation, teaches security law at the Common Law Faculty of the University of Ottawa, and has spoken regularly on securities and corporate law matters for the Department of Continuing Education and the Bar Admission Course of the Law Society of Upper Canada, The County of Carleton Law Association, and in private sector conferences.

Dr. Stuart L. Smith Dr. Smith is the President of Rockcliffe Research and Technology Inc., a company he founded in 1987 to commercialize technology, particularly that which is developed within Canada's publicly-funded laboratories. Dr. Smith also currently serves as Chairman of the Board of Ensyn Technologies Inc., an industrial firm, and between April, 1994, and June, 1997, was President ofÝ Philip Utilities Management Corporation and Senior vice-President of Philip Environmental Inc., a publicly traded integrated waste management company.

Peter C. Reid Peter Reid is a co-founder and President of Reid Eddison Inc., a mentoring services provider to Canada's technology industry. Reid Eddison works with senior executives of smaller technology companies helping them manage the challenges of growth and increase their probability of success. Prior to founding Reid Eddison Inc., Peter Reid spent almost twenty years as a senior financial executive in the information technology industry, working with startups, "SME's" and larger public companies. Most recently, in his capacity as Chief Financial Officer and Vice-President of Finance of Fulcrum Technologies Inc. from 1986 - 1998. Mr. Reid was responsible for the entire range of finance functions including private and public placements in Canada and the US. These activities include completing the strategic alliance of Fulcrum with Datamat Ingegneriade dei Sistemi, Roma, Italy in 1990 and the subsequent IPO of Fulcrum on Nasdaq in 1993. He was also responsible for a wide range of other executive functions including Human Resources, Information Systems, and Strategic and Operational Planning. Prior to Fulcrum, Mr. Reid was Vice President, Controller for Nabu Manufacturing Corporation, an independent consultant, and a Senior Manager with Price Waterhouse. He has worked in public accounting in Canada, Australia, and South Africa. Mr. Reid is currently and has been a director of many Canadian, US, and European private and public technology companies. Mr. Reid was a long-time Member of the Executive Committee and Treasurer of Canadian Advanced Technology Association. Currently, he is Chairman, Champions for Children Foundation of Ottawa-Carleton, Member of the Executive Committee and Board of Directors of Habitat for Humanity and Member of the Board of Directors, Food for the Hungry International, Scottsdale, Arizona and Canadian Food for the Hungry, Abbotsford, B.C

Robert Todd Robert Todd is a Senior Policy Advisor with the Federal-Provincial-Territorial Relations Division of the Department of Foreign Affairs and International Trade. He has held this position since August 2000. Prior to this assignment, he served as Counsellor (Communications and Culture) with the Canadian Embassy in Belgium, and concomitantly as Counsellor (Public Affairs) with the Canadian Mission to the European Union, from 1996-2000. In previous assignments he has worked in a variety of areas at headquarters (Policy Planning Staff, Export Controls, Relations with the Maghreb, Trade and Political Relations with Australia and New Zealand, Transboundary Environmental Relations with the USA, Program of Assistance for Central and Eastern Europe, among others). He has served, on secondment, with the Privy Council
Office and the Department of Citizenship and Immigration. Foreign postings also included Lima, Rabat and Moscow. Mr. Todd had previously served on the Board of CAVI, from its founding in 1994 until 1996. He was a member of the executive of the Professional Association of Foreign Service Officers when CAVI sought to interest PAFSO (the "bargaining unit" for Canada's diplomatic staff with its employer - the Federal Treasury Board) to become the "labour sponsor" of this fund. PAFSO accepted the proposal.
